Overview

Arbor, a real estate investment trust that invests in a diversified portfolio of multifamily and commercial real estate-related loans and other real estate-related assets has a career opportunity within our Depew, NY office for a Counsel. The Counsel is responsible for reviewing and analyzing Agency (Fannie Mae, FHA and Freddie Mac) servicing and asset management issues and requests. This position is also responsible for advising the servicing and asset management group on approvals/rejections of borrower requests and on legal and product-based analyses associated with property, ownership and loan agreement requests and modifications, as well as drafting responses to inquiries. 

Responsibilities

The Counsel will have the following duties and responsibilities, including but not limited to:

  • Stay abreast of program and documentation modifications affecting the lending programs pursuant to the Guides from Fannie Mae, FHA and Freddie Mac and synthesize the information 
  • Educate managers in regard to legal and risk management issues pertaining to loan requests
  • Represent company's and Agencies’ interests and interface directly with borrower counsel
  • Strategize with management prior to client negotiations
  • Counsel, advise, and consult management based on accurate interpretation of loan documents, the Agency Guides, and the facts of a loan or property-related issue
  • Develop internal guidelines, toolkits, and packaged knowledge on various legal and business issues
  • Develop subject matter expertise in areas of agency lending and document material, particularly with respect to the various lending products
  • Support, promote, and implement Group initiatives
  • Advise Risk Management team while contributing to the development and implementation of workout strategies
  • Freddie Mac PLIM preparation
  • Work with internal and external parties in order to identify risk issues and provide Management with feedback on ways to manage these risks
  • Analyze and contribute to the process of disposition of loans through the Bankruptcy and Foreclosure process in accordance with applicable State practices, Trust requirements and Investor guidelines
  • Develop and enhance policies and procedures to support the Special Servicing function including presentations for annual Rating Agency reviews
  • Securitization and REMIC Trust administration and developing strategies in dealing with Directing Certificate Holder (DCH) - subordinate bond holders           
  • Contract review and negotiation Cost benefit analysis of Deficiency Suits on guarantees and non-recourse carve-outs, to include asset searches and forensic activities to determine the viability of participating in legal actions. Coordination with various parties regarding suits on guarantees and non-recourse carve-outs
  • Coordinate with the Legal Department on documentation regarding Confidentiality Agreements, Purchase and Sale Agreements, Pre-Negotiation Letters, Assumptions, Management Agreements and Workout Agreements

Qualifications

Education: A Bachelor’s degree in finance related field and J.D. are required. Credit training a plus.

 

Experience:  Minimum of 5 years commercial real estate experience at a law firm and/or in house at a corporation. The ideal candidate will have experience with creditor rights, special servicing, and litigation and bankruptcy management focused on multifamily and commercial real estate and mortgages (FNMA, FHLMC, FHA, and HUD). 

 

Knowledge/Skills/Abilities:

  • Experience in representing Agency lenders and securitized lenders in originations of mortgage, mezzanine and preferred equity financings
  • Strong ability to work with all levels of management.  Experience working on initiatives requiring strategic planning
  • Ability to adapt to change and communicate changing requirements
  • Excellent problem solving abilities and results oriented; able to make decisions independently
  • Strong leadership skills and ability to influence others
  • Sound understanding of compliance and operational risks and internal control frameworks
  • Experience in defaulted loans, non-compliant borrowers and work-out of defaulted loans
  • Candidate should possess superior organizational, communication and multi-tasking skills
  • Proficiency with Microsoft Excel and Word required
